Pune, July 9 – Suzlon Energy Ltd (NSE: SUZLON, BSE: 532667) has announced the allotment of 30,33,000 equity shares following the exercise of employee stock options under its ESOP 2022 plan. This allotment was approved by the Securities Issue Committee via a circular resolution dated July 9, 2025.

The shares, each with a face value of ₹2, were issued for a total consideration of ₹4.72 crore, which includes premiums. These options were granted across three tranches in May 2023 and May 2024.

What is an ESOP?

An Employee Stock Option Plan (ESOP) is a scheme that grants employees the right, but not the obligation, to purchase a certain number of the company’s shares at a pre-determined price (the exercise price) after a specified period (the vesting period).

Here’s how it generally works and its purpose:

  • Incentivisation: ESOPs are designed to incentivise employees by making them part-owners of the company. This aligns their interests with those of the shareholders, as employees benefit financially if the company’s stock value increases.
  • Retention: The vesting period encourages employees to stay with the company for a longer duration to fully realise the benefits of their options.
  • Discounted Price: The exercise price is typically set below the prevailing market price on the grant date, offering employees a potential profit opportunity when they exercise their options.
  • Vesting: Options don’t usually become immediately available. They “vest” over time, meaning employees earn the right to exercise a portion of their options annually or at specific milestones.
  • Exercise: Once vested, employees can choose to “exercise” their options, meaning they pay the exercise price to convert the options into actual equity shares.
  • Tax Implications: In India, the difference between the fair market value (FMV) of the shares on the exercise date and the exercise price is treated as a perquisite and taxed as income for the employee. Any capital gains upon selling these shares later are taxed separately.

Companies use ESOPs as a compensation tool, especially in sectors where attracting and retaining talent is competitive.

Regulatory Context

This allotment was carried out in compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, read in conjunction with the SEBI (Share Based Employee Benefits and Sweat Equity) Regulations, 2021. These regulations govern how listed companies manage and disclose employee stock option schemes and other share-based benefits to ensure transparency and protect shareholder interests.

As of 2:45 PM, the shares of Suzlon Energy were down 0.32% or ₹0.21 and were trading at ₹66.05.
