Sammaan Capital Limited on February 26, 2026 allotted 7,000 secured, rated, listed, redeemable non-convertible debentures (NCDs) of ₹1,00,000 each, aggregating to ₹70 crore, through a private placement, pursuant to a Securities Issuance and Investment Committee resolution dated February 23, 2026.

The allotment, disclosed under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, forms part of a reissuance of its existing 9.05% January 2036 series.

NCD Reissuance Details And Security Structure

The instrument carries a coupon of 9.05% per annum, payable semi-annually from the deemed date of allotment until maturity. The debentures are scheduled to mature on January 16, 2036, implying a residual tenure of approximately 9.89 years from the date of reissuance, as per the filing.

The securities, identified under ISIN INE148I07YJ0, are proposed to be listed on the National Stock Exchange of India Limited and BSE Limited.

The NCDs are secured by way of a first pari passu charge on specified financial and non-financial assets of the company, including receivables, subject to exclusions defined under the Reserve Bank of India’s Liquidity Risk Management framework for non-banking financial companies and core investment companies.

The company said the debentures will maintain a minimum asset cover of 1.1 times the principal and accrued interest. In the event of delay in servicing interest or principal beyond the due date, an additional interest of at least 2% per annum over the coupon rate will be payable for the period of default.

Semi-annual coupon payments are scheduled each January and July, with the final redemption alongside the 20th coupon on January 16, 2036. Illustrative cash flow tables included in the disclosure set out coupon amounts ranging between approximately ₹4,487 and ₹4,562 per debenture for standard half-year periods, with the final instalment reflecting principal repayment.
